These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and KPT Agents, Inc. ("KPT Agents," "we," "us," or "our") governing your access to and use of the KPT Agents platform, including all related services, features, APIs, and documentation (collectively, the "Service"). Please read these Terms carefully before using the Service.
By accessing or using the Service, creating an account, or clicking "I Agree" or similar acceptance mechanism, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
You represent and warrant that you are at least 18 years of age and have the legal authority to enter into these Terms. If you are using the Service on behalf of a business entity, you represent and warrant that you are authorized to bind that entity to these Terms, and "you" and "your" refer to that entity.
KPT Agents reserves the right to modify these Terms at any time. We will provide at least 30 days' advance notice of material changes via the email address associated with your account. Your continued use of the Service after the notice period constitutes acceptance of the modified Terms.
KPT Agents is an AI-powered voice agent platform that enables businesses to deploy autonomous voice agents for handling both inbound and outbound telephone calls. The platform uses artificial intelligence, including large language models and voice synthesis technology, to conduct natural conversations on behalf of Customer's business.
The Service includes, but is not limited to, the following features as available under your subscription plan:
For purposes of these Terms, the following roles are defined:
All telephone numbers provisioned, assigned, or otherwise made available to Customer through the Service are rented from KPT Agents and its underlying telephony providers. Customer does not own any phone number associated with the Service. Numbers are not eligible for Local Number Portability ("LNP"), porting, or transfer to any third-party carrier or service, and may not be moved outside the KPT Agents platform. Upon termination of the Service or release of a number from a Customer's account, the number is returned to KPT Agents' inventory and may be reassigned. Customer is solely responsible for any reliance on a specific number remaining assigned to their account.
To use the Service, you must create an account. Only one account may be maintained per business entity. You must provide accurate, current, and complete information during registration and keep your account information up to date at all times.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify KPT Agents immediately at support@kptagents.com if you become aware of any unauthorized access to or use of your account.
KPT Agents reserves the right to suspend or terminate your account at any time if we reasonably believe that you have violated these Terms, engaged in fraudulent activity, or pose a risk to the Service, other users, or third parties. We will endeavor to provide notice before suspension except where immediate action is required to prevent harm.
You shall not use the Service to:
You must not configure your AI agent to represent itself as a human being. When directly asked by an End User whether they are speaking to an AI or a human, the agent must truthfully disclose that it is an AI-powered system. See Section 7 for additional AI disclosure requirements.
KPT Agents reserves the right, but is not obligated, to monitor use of the Service for compliance with these Terms and the Acceptable Use Policy. We may investigate suspected violations and take any action we deem appropriate, including issuing warnings, suspending or terminating accounts, removing content, and reporting violations to law enforcement.
Customer is solely and exclusively responsible for ensuring compliance with the Telephone Consumer Protection Act ("TCPA"), the Federal Communications Commission ("FCC") rules, and all applicable federal and state telemarketing and telecommunications laws. KPT Agents provides a technology platform; we do not ensure, guarantee, or verify your legal compliance.
Without limiting the foregoing, Customer shall:
By using the Service for outbound calling, Customer represents and warrants that it is in full compliance with all applicable federal and state telemarketing and telecommunications laws, including but not limited to the TCPA, the Telemarketing Sales Rule ("TSR"), FCC regulations, and all applicable state do-not-call and telemarketing statutes.
YOU UNDERSTAND AND ACKNOWLEDGE THAT IF YOU VIOLATE THE TCPA, DNC RULES, OR ANY OTHER FEDERAL OR STATE TELEMARKETING LAWS, YOU FACE POTENTIALLY CATASTROPHIC LEGAL DAMAGES INCLUDING STATUTORY DAMAGES OF $500 TO $1,500 PER CALL FOR WHICH YOU, AND NOT KPT AGENTS, ARE SOLELY RESPONSIBLE AND LIABLE. KPT AGENTS SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY FINES, PENALTIES, DAMAGES, OR LEGAL COSTS ARISING FROM YOUR FAILURE TO COMPLY WITH APPLICABLE TELEMARKETING AND TELECOMMUNICATIONS LAWS.
All Customers using the outbound calling features of the Service are required to register with the FCC's Robocall Mitigation Database ("RMD") before initiating any outbound calling campaigns. This is a mandatory prerequisite for outbound service activation.
Customer must obtain an FCC Registration Number ("FRN") and complete the required RMD filing prior to sending any outbound traffic through the Service. KPT Agents will not route outbound calls for any account that has not provided a valid FRN and RMD filing confirmation.
Customer must maintain current RMD registration, including completing annual recertification, which is due by March 1 of each year. Failure to maintain a valid and current RMD registration will result in the immediate suspension of outbound calling capabilities on your account.
Customer is solely responsible for the accuracy and completeness of their RMD filing. KPT Agents reserves the right to verify Customer's RMD registration status at any time and to suspend outbound calling capabilities if the registration is found to be lapsed, inaccurate, or otherwise non-compliant.
Customer is responsible for configuring each AI agent to disclose, at or near the outset of each call and again whenever directly asked by an End User, that the End User is interacting with an AI-powered system. This obligation applies to both inbound and outbound calls. Customer is solely responsible for the wording of their agents' first message, system prompt, and conversational behavior, and for ensuring those configurations satisfy this disclosure obligation as well as any applicable state, federal, or international law.
"This call is being handled by an AI assistant on behalf of [Business Name]."
Customer shall not configure, instruct, or prompt any AI agent to represent itself as a human being or to deny being an AI system when asked by an End User. Any such configuration constitutes a material breach of these Terms.
KPT Agents may review Customer's agent configurations, prompts, and call recordings at any time to verify compliance with this Section 7. KPT Agents reserves the right to suspend, modify, or remove any agent or account that, in its sole discretion, fails to provide adequate AI disclosure, including the right to require remediation as a condition of continued Service. Customer is encouraged to use the recommended disclosure language above; alternative wording is permitted provided it clearly and unambiguously communicates that the caller is interacting with an AI system.
KPT Agents records and transcribes all calls processed through the Service by default. Recording and transcription are integral to service delivery, quality assurance, analytics, and the proper functioning of AI agent capabilities.
Customer is solely responsible for ensuring compliance with all applicable federal and state call recording consent laws. Recording laws vary by jurisdiction, and it is your obligation to understand and comply with the laws applicable to your specific use case and the jurisdictions in which you and your End Users are located.
All calls processed through the KPT Agents platform include an automated disclosure: "This call may be recorded and transcribed." This disclosure is provided as a platform feature to assist with compliance but does not guarantee legal compliance for the Customer's specific jurisdiction or use case.
Customer should be aware that the following states generally require the consent of all parties to a call before recording (commonly known as "two-party consent" or "all-party consent" states):
This list is provided for informational purposes only and may not be exhaustive or current. Customer must independently verify applicable recording consent requirements for their specific use case and jurisdictions.
Customer must ensure that their AI agent configuration complies with all applicable recording consent requirements. This may include configuring agents to obtain explicit consent from End Users before proceeding with a recorded conversation in jurisdictions where the automated platform disclosure alone may not be legally sufficient.
KPT Agents retains data according to the following schedule:
Customer may request deletion of their data at any time by contacting legal@kptagents.com. Data deletion requests will be processed within ten (10) business days. Please note that deletion requests are irreversible and that KPT Agents may retain certain data as required by law or as necessary for legitimate business purposes (such as resolving disputes or enforcing agreements).
KPT Agents may retain de-identified, aggregated data derived from Customer's use of the Service for platform improvement, research, and analytics purposes. Such data will not identify any individual Customer, End User, or specific business.
Data handling is further governed by Part 2 (Privacy Policy) of this document and, where applicable, our Data Processing Agreement ("DPA"). In the event of any conflict between these Terms and the DPA, the DPA shall control with respect to data processing matters.
KPT Agents retains all right, title, and interest in and to the Service, including all software, algorithms, models, interfaces, designs, documentation, and all related intellectual property rights. Nothing in these Terms grants Customer any ownership interest in the Service or any KPT Agents intellectual property.
Customer retains all right, title, and interest in and to its business content, data, configurations, scripts, prompts, and any other materials provided to or through the Service ("Customer Content"). KPT Agents claims no ownership of Customer Content.
Customer grants KPT Agents a limited, non-exclusive, worldwide license to use, process, store, and transmit Customer Content solely as necessary to provide, maintain, and improve the Service. This license terminates when Customer Content is deleted from the Service in accordance with the retention schedule or a valid deletion request.
If Customer provides KPT Agents with feedback, suggestions, or recommendations regarding the Service ("Feedback"), KPT Agents may use such Feedback without restriction, obligation, or compensation. Customer hereby assigns to KPT Agents all right, title, and interest in any Feedback provided.
If Customer creates, uploads, clones, trains, or otherwise generates a custom voice through the Service — including by uploading audio samples, recording audio samples directly through the platform, or instructing the Service to clone or train a voice from third-party content — Customer hereby grants KPT Agents a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable, and transferable license to host, store, reproduce, modify, adapt, transmit, distribute, publicly perform, and otherwise use the resulting custom voice and the underlying audio samples and voice models for any purpose related to operating, providing, supporting, improving, training, demonstrating, and marketing the Service, including in promotional materials and on or through any third-party voice provider integrated with the Service. This license survives termination of these Terms and is independent of Customer's continued use of the Service or of any specific subscription or commitment plan.
Customer represents and warrants that, with respect to any custom voice and any audio samples Customer submits: (a) Customer holds, or has obtained from the speaker(s) and any other rights-holders, all rights, releases, consents, and authorizations necessary to grant the license set forth above; (b) the samples and resulting voice do not infringe, misappropriate, or violate the intellectual-property, publicity, privacy, or other rights of any person; and (c) Customer's use of the custom voice through the Service complies with all applicable laws. Customer's indemnification obligations under Section 14 expressly cover any claim arising from or relating to a custom voice or audio sample Customer submits to the Service.
The Service is offered on a subscription and usage-based pricing model as published on the KPT Agents website. Customer agrees to pay all fees associated with their selected subscription plan and any usage-based charges incurred during each billing period.
All fees are non-refundable except where required by applicable law or as expressly stated in these Terms (see Section 11.6 for cancellation refunds applicable to pay-as-you-go account balances).
KPT Agents may change its pricing at any time with at least thirty (30) days' advance written notice to Customer via email. Price changes will take effect at the start of Customer's next billing cycle following the notice period. If Customer does not agree to a price change, Customer may terminate their account before the change takes effect.
Overdue amounts will accrue interest at a rate of 1.5% per month (or the maximum rate permitted by applicable law, whichever is lower), calculated from the date payment was due until the date payment is received in full. KPT Agents reserves the right to suspend the Service for any account with amounts overdue by more than fifteen (15) days.
All voice usage is billed in sixty (60) second increments with a sixty (60) second minimum per call. Every call is rounded up to the next full minute. This billing applies to all calls handled by the Service, including (a) inbound and outbound calls handled by an AI agent, (b) any call leg forwarded, transferred, conferenced, or warm-handed-off to another destination, and (c) test calls and agent-testing sessions initiated by Customer through the platform's test interface or otherwise. Customer is responsible for all per-minute charges incurred regardless of whether the call connects, is answered, completes a workflow, or generates business value.
Customer may cancel at any time as set forth in Section 15.1. Upon cancellation:
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. KPT AGENTS EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
KPT Agents makes no warranty or representation regarding the accuracy, completeness, reliability, or appropriateness of any AI-generated output, including spoken responses, decisions, or actions taken by AI agents during calls. AI technology is inherently probabilistic, and outputs may contain errors, inaccuracies, or inappropriate responses.
KPT Agents does not guarantee that AI agents will handle every call scenario correctly, completely, or to Customer's satisfaction. Complex, unusual, or adversarial interactions may result in suboptimal outcomes. Customer is responsible for monitoring AI agent performance and implementing appropriate fallback mechanisms.
KPT Agents does not guarantee any particular regulatory compliance outcome. The Service provides tools and features that may assist with compliance, but the ultimate responsibility for compliance with all applicable laws and regulations rests solely with the Customer.
Nothing in these Terms, the Service documentation, or any communication from KPT Agents constitutes legal advice. Customer should consult qualified legal counsel regarding their specific compliance obligations and use of the Service.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KPT AGENTS' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY CUSTOMER TO KPT AGENTS DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
IN NO EVENT SHALL KPT AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER KPT AGENTS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE LEGAL THEORY UPON WHICH SUCH CLAIM IS BASED.
The limitations set forth in Sections 13.1 and 13.2 shall not apply to: (a) Customer's indemnification obligations under Section 14; (b) either party's breach of the Acceptable Use Policy; or (c) either party's willful misconduct or gross negligence. These categories of liability are not subject to the aggregate cap or damage exclusions.
Customer shall indemnify, defend, and hold harmless KPT Agents, its officers, directors, employees, agents, and affiliates from and against any and all claims, demands, actions, suits, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
KPT Agents will promptly notify Customer of any indemnifiable claim and will provide Customer with reasonable cooperation in the defense of such claim. Customer shall have the right to control the defense and settlement of any such claim, provided that Customer shall not settle any claim in a manner that imposes obligations on KPT Agents or admits fault on behalf of KPT Agents without KPT Agents' prior written consent.
Customer may terminate these Terms and cancel their account at any time, with no advance-notice requirement, including on the last day of the then-current billing cycle. Cancellation may be initiated through the account settings or by contacting billing@kptagents.com. Refund and end-of-cycle treatment is governed by Section 11.6. KPT Agents may terminate these Terms for convenience by providing thirty (30) days' written notice to Customer.

The following provisions shall survive termination or expiration of these Terms: Sections 5 (TCPA and FCC Compliance), 9 (Data Handling and Retention), 10 (Intellectual Property), 11 (Fees and Payment, with respect to fees and refunds attributable to the period prior to termination), 12 (Disclaimers), 13 (Limitation of Liability), 14 (Indemnification), and 17 (Dispute Resolution), along with any other provisions that by their nature should survive.
The KPT Agents platform relies on third-party service providers ("Sub-Processors") to deliver its core functionality. These Sub-Processors include, but are not limited to, providers of:
Customer acknowledges and agrees that certain data, including call audio, transcripts, and metadata, may be shared with Sub-Processors as necessary for the delivery of the Service. KPT Agents maintains contractual obligations with its Sub-Processors to ensure appropriate data protection and security measures.
The Sub-Processors KPT Agents currently engages to deliver the Service include, but are not limited to, those listed below. This list reflects the state of the Service as of the "Last updated" date and may change in accordance with Section 16.4.
KPT Agents will provide at least thirty (30) days' notice before engaging new categories of Sub-Processors that may process Customer data. The current Sub-Processor list will be reflected on this page; revisions will be accompanied by an update to the "Last updated" date at the top of this document.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
Before initiating any formal dispute resolution proceedings, the parties agree to attempt to resolve any dispute informally. The complaining party shall send a written notice describing the nature of the dispute and the desired resolution to the other party. The parties shall use good faith efforts to resolve the dispute within thirty (30) days of receipt of such notice.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved through the informal resolution process shall be finally resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Wilmington, Delaware, before a single arbitrator. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
TO THE FULLEST EXTENT PERMITTED BY LAW, CUSTOMER AND KPT AGENTS AGREE THAT ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, COLLECTIVE ACTION, REPRESENTATIVE ACTION, OR PRIVATE ATTORNEY GENERAL ACTION. CUSTOMER WAIVES ANY RIGHT TO PARTICIPATE IN A CLASS OR REPRESENTATIVE PROCEEDING.
Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the jurisdictional limits of such court.
Our collection, use, and disclosure of personal information is governed by Part 2 (Privacy Policy) of this document, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understand the Privacy Policy.
If you are a California resident, you may have additional rights under the California Consumer Privacy Act ("CCPA") and the California Privacy Rights Act ("CPRA"), including the right to know what personal information is collected, the right to request deletion of personal information, the right to opt out of the sale or sharing of personal information, and the right to non-discrimination. For material changes, KPT Agents will additionally provide at least thirty (30) days' advance notice by sending an email to the address associated with your account, describing the nature of the changes and the date on which they take effect. Customers are encouraged to review these Terms periodically.
Your continued use of the Service after the expiration of the notice period constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and terminate your account before the changes take effect.
For changes that KPT Agents determines to be material — including but not limited to changes to pricing, liability provisions, arbitration terms, or data handling practices — KPT Agents will require affirmative consent from Customer before the changes take effect. Affirmative consent may be obtained through an in-app acceptance mechanism, email confirmation, or other reasonable means.

The Meta Pixel records actions such as page views and completed sign-ups and sends this information — together with your IP address and browser/device details — to Meta so we can measure and optimize our advertising and reach relevant audiences. The Meta Pixel is not active during phone calls or AI voice agent interactions. Meta's handling of this information is governed by Meta's own privacy and data policies.

Important: Violations of this Acceptable Use Policy may result in immediate suspension or permanent termination of your account, forfeiture of prepaid balances, and reporting to the appropriate legal or regulatory authorities.
The KPT Agents platform is designed to facilitate lawful, professional voice communications. The following uses are permitted, provided they comply with all applicable laws and the remaining provisions of this AUP:

KPT Agents is committed to maintaining a safe, lawful, and trustworthy platform. To that end, the following monitoring and enforcement measures apply:
Violations of this AUP may result in one or more of the following enforcement actions, at KPT Agents' sole discretion:
Repeated or egregious violations of this AUP will result in permanent account termination without prior warning. KPT Agents may, at its discretion, prohibit the individual or entity from creating new accounts.
If you become aware of or suspect any violation of this Acceptable Use Policy, we encourage you to report it promptly. Reports may be submitted by any person, including KPT Agents customers, called parties, or third parties.
When submitting a report, please include as much detail as possible, such as the phone number(s) involved, the date and time of the suspected violation, and a description of the activity.
KPT Agents will acknowledge receipt of all reports and will investigate reported violations within 5 business days of receipt. The outcome of investigations is confidential; however, KPT Agents may notify the reporter of the general disposition of the matter where appropriate.
KPT Agents reserves the right to modify, amend, or replace this Acceptable Use Policy at any time. Changes will be handled as follows:
